Additional Capability

Commercial Real Estate & Leasing

DP Counsel PLLC works directly with businesses, investors, owners, and international companies on selected commercial real estate transactions and leasing matters tied to operations, investments, acquisitions, and U.S. market entry. The Firm integrates transaction structure, contractual risk allocation, corporate authority, and closing execution, coordinating title, survey, tax, environmental, zoning, financing, and locally admitted professionals when the matter requires their involvement.

Acquisitions and Dispositions

The Firm advises on the legal and corporate aspects of acquiring and disposing of commercial properties and property-owning entities. The work may include letters of intent, purchase and sale agreements, entity and ownership structure, authority and approval documents, diligence coordination, closing conditions, transfer documents, and post-closing obligations. Where title, survey, environmental, zoning, tax, financing, or property-condition review is required, the Firm coordinates the relevant specialist work and integrates the results into the transaction documents and closing process.

  • Letters of intent and transaction structure
  • Purchase and sale agreements
  • Property-holding entities and governance
  • Contractual diligence and specialist coordination

Commercial Leasing

DP Counsel advises landlords, tenants, operators, and business owners on office, retail, and industrial leasing matters. The Firm reviews and negotiates letters of intent, leases, amendments, assignments, subleases, guaranties, estoppel certificates, and related documents, with attention to permitted use, delivery and build-out obligations, operating expenses, maintenance and repair, insurance, indemnification, assignment and change-of-control restrictions, renewal and termination rights, defaults, remedies, security arrangements, and exit flexibility.

  • Office, retail, and industrial leases
  • Lease letters of intent and amendments
  • Assignments, subleases, and change-of-control provisions
  • Guaranties, security deposits, and credit support

Corporate and Cross-Border Transactions

Commercial property and occupancy arrangements often form part of a broader corporate transaction or market-entry plan. The Firm advises on real estate and lease issues arising in mergers and acquisitions, business expansions, U.S. subsidiary formation, reorganizations, financings, and operational transitions. This includes evaluating assignment and change-of-control provisions, landlord and lender consents, entity authority, parent-company support, occupancy continuity, and the sequencing of real estate deliverables with the principal corporate closing.

  • Real estate components of M&A and asset transactions
  • U.S. site and lease arrangements for international companies
  • Assignment, consent, and change-of-control analysis
  • Property-owning and operating-company structures

Coordinated Transaction Execution

Commercial real estate transactions frequently require disciplines beyond corporate and contract counsel. Depending on the property, transaction, and governing law, separate advice may be required regarding title, survey, zoning, land use, environmental conditions, property tax, construction, engineering, insurance, financing, licensing, or local law. DP Counsel defines the legal workstream, identifies required specialist input, coordinates that input with the transaction documents, and helps the client maintain a coherent closing process.

Scope of the Practice

This capability focuses on transactional and commercial matters. It does not hold the Firm out as providing real estate litigation, landlord-tenant litigation, land-use or zoning proceedings, environmental consulting, construction design or engineering advice, title insurance services, property appraisal, brokerage services, tax advice, or legal advice in jurisdictions where separate local counsel is required. The Firm coordinates with appropriate professionals when those issues arise.
