Employment, Executive and Compensation Arrangements

DP Counsel prepares and reviews offer letters, employment agreements, executive arrangements, amendments, and separation documentation. The work may address duties, reporting relationships, authority, location and remote-work expectations, base compensation, commissions, bonuses, discretionary incentives, expense treatment, term and renewal, suspension, termination, notice, severance, releases, transition obligations, and continuing covenants. The objective is to state the commercial arrangement precisely while preserving the flexibility the company actually intends to retain.

Independent Contractors, Consultants and Worker Classification

Independent-contractor and consulting arrangements require more than a contractor label. DP Counsel structures agreements addressing services, deliverables, milestones, acceptance, personnel, subcontracting, fees, expenses, taxes, access to systems, security, compliance, termination, transition, and the ownership or permitted use of work product. Where a consultant contributes technology, content, brand assets, designs, inventions, customer information, or other protected material, the agreement should distinguish commissioned work from the contractor’s genuinely pre-existing tools and third-party components.

Confidentiality, Invention Assignment and Company Information

Protection of company information and intellectual property begins with a coherent chain of rights. DP Counsel prepares confidentiality, proprietary-information, invention-assignment, work-made-for-hire, confirmatory-assignment, and continuing-assistance provisions for employees and contractors. The documents may address inventions, source code, data, designs, documentation, business methods, customer and supplier information, trade secrets, credentials, records, and other materials developed or accessed through the relationship.

Restrictive Covenants and Protection of Business Relationships

Depending on applicable law and the circumstances, business-protection provisions may include confidentiality, customer or employee nonsolicitation, noninterference, nondisparagement, notice, garden-leave, or narrowly tailored noncompetition obligations. DP Counsel evaluates the legitimate interests at issue, the individual’s role and access, the duration and activity restrictions, geographic or customer scope, consideration, choice of law, forum, remedies, and the relationship to equity, acquisition, or separation arrangements.

Employment Issues in Transactions and Cross-Border Operations

Financings, acquisitions, dispositions, reorganizations, and other corporate transactions may require review of employment and contractor agreements; compensation, commission, bonus, severance, and change-in-control obligations; classification and wage issues; confidentiality, restrictive-covenant, and IP-assignment coverage; equity awards and vesting; required consents; disclosure schedules; retention or transaction bonuses; offer letters; transition arrangements; and the allocation of employment liabilities between transaction parties. No employee, contractor, agreement, benefit plan, permit, asset, or liability should be described as transferring unless the transaction documents and applicable law provide for that result.
