Mission, Governance and Structure

Nonprofit & Tax-Exempt Organizations

A durable nonprofit structure requires state-law formation, governance, authority, finances, and operating activities to remain aligned with the organization’s stated purpose, while federal tax-exempt recognition proceeds through a distinct process. DP Counsel works directly with founders, directors, officers, donors, fiscal sponsors, foundations, associations, religious and community organizations, and mission-driven enterprises on that corporate and governance framework.

Nonprofit and Tax-Exempt Organization Counsel

Entity Formation and Purpose

A nonprofit corporation is formed under state law, while recognition of federal tax-exempt status is a separate tax process. Formation documents should state appropriate purposes and limitations, identify whether the organization has members, and establish an initial governance framework. Incorporator action, initial board approvals, bylaws, officer appointments, banking authority, conflict policies, fiscal-year decisions, and other organizational steps make the entity capable of operating.

Governance and Fiduciary Oversight

Bylaws and board practices should define director selection and removal, terms, officers, committees, meetings, quorum, voting, delegated authority, and reserved decisions. Membership organizations require additional clarity regarding member classes, admission, voting, meetings, inspection, discipline, and the relationship between member and board powers. Minutes and written consents should accurately record material actions and the information and authority supporting them.

Federal Tax-Exempt Status and Ongoing Compliance

An organization seeking recognition under Section 501(c)(3) or another federal provision may need an application and supporting narrative, financial information, organizing documents, governance disclosures, and descriptions of compensation, grants, fundraising, and relationships. The required process depends on classification and facts. DP Counsel may assist with corporate and supporting legal documents within the engagement, while tax eligibility, elections, filings, and opinions should be confirmed by qualified tax advisers.

Charitable Solicitation and State Compliance

Soliciting contributions can trigger state registration, exemption, renewal, reporting, disclosure, and recordkeeping requirements based on where and how fundraising occurs. Online campaigns and platforms can reach multiple states even when the organization has one office. The analysis may include professional fundraisers, fundraising counsel, commercial co-ventures, cause marketing, raffles, events, donor acknowledgments, and representations about the use of proceeds.

Strategic Transactions, Governance Changes and Dissolution

Affiliations, mergers, asset transfers, significant contracts, membership changes, control arrangements, and program combinations require analysis of authority, fiduciary process, restricted assets, contracts, liabilities, employees, licenses, grants, and donor conditions. Depending on the jurisdiction and transaction, notice to or approval by an attorney general, court, regulator, members, or other parties may be required. A mission-based rationale does not itself complete the legal transfer.
