Ongoing Corporate Legal Support

Outside General Counsel

Recurring legal decisions become more disciplined when governance, contracts, corporate records, workforce documentation, legal-risk triage, and transaction readiness are managed under consistent standards. DP Counsel works directly with founders, boards, management teams, U.S. subsidiaries, family-owned businesses, and companies without a full in-house legal department to build a coordinated and practical legal operating framework.

Ongoing Corporate Counsel

Outside General Counsel and Ongoing Corporate Support

Corporate Housekeeping and Decision Authority

Ongoing corporate support begins with reliable entity, ownership, authority, and approval records. DP Counsel assists with board, manager, member, and stockholder actions; officer appointments; delegated authority; signature policies; capitalization records; annual and event-driven approvals; good standing; and foreign qualification where applicable. The legal record should reflect how the company actually makes decisions rather than a governance structure that exists only on paper.

Contract Intake, Negotiation and Playbooks

A contract process should triage matters by value, operational dependency, data and IP exposure, liability, term, and strategic importance. Templates, clause positions, approval thresholds, fallback language, and escalation rules help business teams distinguish routine terms from decisions requiring management or board attention. Master agreements, order forms, statements of work, amendments, and online terms should follow a controlled structure and use current approved forms.

Board, Founder and Stakeholder Matters

Boards, managers, members, stockholders, founders, and investors may have overlapping but distinct rights. Ongoing counsel may support meeting and consent materials, equity issuances and transfers, founder arrangements, information rights, protective provisions, related-party transactions, conflicts, and stakeholder communications. The governing documents should determine authority and process; informal expectations should not be substituted for required approvals.

Financing and Transaction Readiness

A company is easier to finance or sell when its records are maintained before diligence begins. Ongoing support may include cap-table and stock-ledger reconciliation, approval cleanup, founder and IP documentation, material-contract organization, NDA review, data-room planning, consent identification, and issue lists. These steps do not guarantee a transaction, but they can surface ownership, authority, contract, and disclosure issues while the company has time to address them.

Ongoing Counsel Model and Scope Boundaries

An ongoing engagement should define priorities, designated contacts, intake channels, review cadence, decision authority, budgets or subscription limits where agreed, and expected escalation. Work may be organized through a queue, recurring meeting, decision log, contract tracker, or governance calendar. The model should identify urgent matters and project work without promising continuous availability or a response time that has not been expressly agreed.
